Perhaps it's because you tried to nest single quotes within single
quotes. You need to use something else instead, like double quotes or
%q (equivalent to '):

cat file.html | ruby -pe 'gsub(/(<td.*agenda.*\/td>)/, %q(<!-- \1 -->))'
