Its located at "%VS71COMNTOOLS%vsvars32.bat" where %VS71COMNTOOLS% is an 
environment variable set by Visual Studio when you installed it. For 
example on my system:

   VS71COMNTOOLS=E:\DevTools\VS2003\Common7\Tools\
